Sovereign Legal Identity Challenge
“You” or “you” means each participant who participates in the SOVEREIGN LEGAL IDENTITY CHALLENGE (the “Challenge”) of the 2018 Computational Law and Blockchain Festival, whether alone or as part of a team in the event of team projects/submissions (each, a “Participant,” and collectively, the “Participants”).
“Presenters” or “we” or “us” means collectively: law.MIT,edu at the MIT Media Lab (“law.MIT.edu”) and their respective related entities presenting the Challenge. For avoidance of doubt, Legal Hackers LLC is not a presenter of the Challenge.
The Challenge is presented to you by the Presenters and is a global, 24-hour hackathon that challenges participants to build compelling smart legal contracts. Anyone is welcome to register to participate in the Challenge as an individual Participant or as a team of Participants for team projects/submissions. Participation is fully voluntary and subject to these Smart Legal Contracts Challenge Participation Terms and Conditions (the “Terms”) and online instructions https://mitmedialab.github.io/SLIC. In the event a submitted solution is presented by a team of Participants, then the entire team participating in a particular submission and representing such submitted solution will be considered as only one Participant for the purpose of the Award. Except for the described herein Award, Participants are not entitled to any compensation, nor will they be considered in any way associated with Presenters.
Solutions submitted as part of the Challenge will be judged entirely in the sole and absolute discretion of the Presenters. Decisions by the Presenters are final.
The winner may not request substitutions of the Award. The winner is solely responsible for any and all taxes and/or fees as well as all additional costs that may be incurred as a result of winning the Challenge. Neither the Presenters nor their respective officers, directors, employees, agents, successors, or assigns shall be liable for any warranty, costs, damage, injury, or any other claims incurred as a result of the usage of the Award by the winner. The Presenters are not liable for any loss arising out of or in connection with the Challenge promoted by the Presenters.
How to participate in the Challenge and submit a SOVEREIGN LEGAL IDENTITY CHALLENGE project:
The Challenge will be held during the 2018 Computational Law and Blockchain Festival at each of the following distributed nodes http://legalhackers.org/clbfest2018-host/ worldwide starting on March 16, 2018 and after 24 hours (with the exceptions of Jakarta and Wellington, which will begin hacking early on next Friday 3/16 morning US time). Prior to the start time, you must be registered at your particular node to participate in the Challenge online. You must be at least 18 years old in order to participate in the Challenge. All submitted solutions shall be in compliance with these Terms and the instructions described here [challenge site] (the “Instructions”). Solutions not following the Terms and/or Instructions will not be considered. Solutions received after the deadline set forth in the Instructions are ineligible, null, and void. Presenters will not be responsible for and will not consider incomplete or incorrect submissions. Presenters are not responsible for submissions that are sent but not received by the Presenters for any reason. A winner will be notified by the form/method of contact that was provided to Presenters when a Participant initially entered the Challenge as further described in the Instructions. If the winner does not respond to the notification within twenty four (24) hours, another winner will be chosen. Failure to respond within the time frame listed above shall mean that the provisional winner forfeits the Award. Only one submission per Participant or a team of Participants (in the event of a team project/submission) will be considered for the Challenge entry and the Award.
Each Participant acknowledges and agrees that submitted solutions and any and all related source code, information, documents and materials will be posted publicly at the sole discretion of the Presenters. By submitting a solution, you grant the Presenters permission to display, copy, combine, compile, distribute, disseminate and make derivative works if your solution. Solutions will not be accepted if they include:
All posted solutions will be available for others to download or use. You agree that any original content (that is, content created by you for the Challenge) is freely available without restriction or is licensed as open source under the MIT license or other open source license.
If your solution requires the use of any third party materials (such as a dataset or code) (the “Solution Materials”), you are responsible for ensuring that the Solution Materials are available without restriction or, at a minimum, are also licensed as open source. You are solely responsible for all required verification or investigation of the availability of the Solution Materials prior to submitting your solution. Any licenses applicable to the Solution Materials must be identified in the documentation submitted for your solution. Any solutions which do not include appropriate license documentation for the Solution Materials will not be accepted for posting or consideration for the Challenge.
You represent and warrant that you have sufficient rights to authorize the publication and dissemination of your solution and to participate in the Challenge, and to use and to authorize others to use the Content and Solution Materials, whether those materials are owned by you or others (as specified in the “Use of Third Party Materials” section of these Terms). You are wholly responsible for your solution. This means you are liable if your solution (1) is determined to be defamatory, abusive, derogatory, offensive, or otherwise inappropriate, (2) violates any laws, rules or regulations, or (3) infringes, or constitutes a misappropriation of, any intellectual property rights or confidential information of any third party. We reserve the right to remove your solution from the Challenge website at any time in at our sole discretion.
Except where prohibited, submission of a solution constitutes your consent for use of your name, and/or hometown and country information and information about your solution for promotional purposes in connection with the Challenge through any form of media, worldwide, without further permission, payment or consideration.
You agree to release, indemnify, defend and hold the Presenters, their related entities and their respective officers, directors, employees, agents, successors, and assigns (collectively, the “Indemnified Parties”) harmless from and against – and hereby waive any right to pursue – any and all claims, damages, losses of any nature, including, without limitation reasonable attorneys’ fees, arising in connection with the Indemnified Parties’ use of the Content and/or Solution Materials submitted for the Challenge and used in any manner in the sole and absolute discretion by the Indemnified Parties, and/or resulting from your breach of any of the representations, warranties or obligations contained in these Terms and/or Instructions.
You assume any and all risks associated with your submission of a solution. Therefore, you also waive and release any and all claims or causes of action against the Indemnified Parties for any and all injury and damage of any nature whatsoever (whether existing or thereafter arising, whether direct, indirect, or consequential and whether foreseeable or not), arising from the submission of your solution with respect to the Challenge.
The Challenge is null and void in any jurisdiction where prohibited by law.
The Presenters reserve the right in its sole and absolute discretion to terminate the Challenge at any time without prior notice.
The Presenters reserve the right in their sole and absolute discretion to alter any rules of the Challenge at any time.
By entering the Challenge, you conclusively are deemed to have agreed to be bound by these Terms. This is an irrevocable condition of entry.
The winners will be chosen by the Presenters on the merits of each entry and presented solution, in the Presenters’ sole and absolute discretion.
No purchase or payment of any consideration is necessary to enter the Challenge.
Presenter reserves the right to condition the presentation of the Award upon the execution by the winner of a publicity release. Notwithstanding this reserved right, entry is conclusively deemed to be permission by the Participant to use the Participant’s name (without compensation to the Participant) if the Participant is a winner to publicize the Challenge and otherwise, as determined by [Presenter/sponsor], unless prohibited by law.
Presenter reserves the right to require the winner to execute an affidavit of eligibility as a sworn document and provide other proof of eligibility as a condition of receipt of the Award.
